1. IntroductionThis Affiliate Agreement ("Agreement") sets the rules for joining the Cameralux affiliate program ("Program") run by the Company. By signing up or taking part, you ("Affiliate") agree to follow the terms laid out in this Agreement. The Program allows Affiliates to boost the Platform’s reach and earn commissions based on their performance. 2. EligibilityAffiliates need to be at least eighteen (18) years old or have reached the age of majority in their province or territory. The Company holds the right to approve or reject any application at its discretion. 3. Affiliate RoleAffiliates act as independent contractors, not employees, agents, or representatives of the Company. They are solely responsible for their marketing efforts and ensuring compliance with all relevant laws. 4. Tracking and AttributionThe Company uses tracking tools like cookies and device IDs to assign referrals. Attribution is decided solely by the Company and may involve:

Suspension and TerminationThe Company may suspend or end an Affiliate’s participation at any time for violations or risk concerns. Unpaid commissions may be forfeited if fraud or breaches are found. 14. Limitation of LiabilityThe Company won’t be liable for indirect or consequential damages to the fullest extent allowed by law. 15. Governing LawThis Agreement is governed by the laws of the Province of Ontario and Canada. Any disputes will be settled under Ontario courts’ jurisdiction, respecting mandatory local laws. 16. ModificationsThe Company may update this Agreement at any time. Continuing in the Program means you accept the changes. 17. Final ProvisionsThis document represents the full agreement between the parties. If any part is found unenforceable, the rest remains effective. 1. Data ProtectionAffiliates must comply with privacy laws like GDPR, LGPD, and Canada’s PIPEDA, including securing valid consent for marketing. The Company acts as an independent data controller and does not share personal data of users with Affiliates. 12. Platform Rights & ChangesThe Company may adjust the Program, including commissions, rules, or features, anytime. Staying in the program means acceptance. 13. IndemnificationAffiliates agree to protect the Company from claims related to their actions, legal violations, or breaches of this Agreement. 14. Suspension & TerminationThe Company can suspend or end participation for violations, fraud, or risk management. Unpaid commissions may be withheld if breaches are found. 15. Limitation of LiabilityThe Company isn’t responsible for indirect or consequential damages to the fullest extent allowed by law. 16. Governing LawThis Agreement is governed by the laws of Ontario, Canada. Mandatory local laws apply. 17. Entire AgreementThis Agreement is the whole contract and replaces all previous understandings. A1. Settlement TimelineRevenue settles over cycles (e.g., T+30 to T+120 days) depending on payment risk. A2. RefundsRefunds are issued for unauthorized transactions, duplicates, or non-delivery and reduce Affiliate Net Revenue. A3. ChargebacksChargebacks may occur up to 120+ days after transactions; related commissions may be reversed. A4. Negative BalancesNegative balances can be carried forward and offset against future earnings. A5. ReservesThe Company may hold rolling reserves to reduce risk exposure. C1. Allowed

Final Statement and Comprehensive Legal AcknowledgmentThis Agreement, along with all annexes, policies, and related documents, forms a comprehensive, integrated, and globally applicable legal framework governing participation in the Cameralux Affiliate Program and use of the Platform. It’s designed to align with international legal standards and evolving regulations covering digital services, consumer protection, advertising, payment processing, data privacy, and international commerce. The terms ensure clarity, transparency, and enforceability across jurisdictions while maintaining flexibility for a global digital platform. For clarity, the Company acts purely as a technology platform facilitating marketing partnerships and transactions between independent parties. It does not act as employer, agent, broker, or representative of Affiliates, Users, Performers, or Studios, nor does it control their activities. All parties act independently and are responsible for their actions, content, traffic sources, and legal compliance. This Agreement sets a firm and enforceable framework for affiliate marketing, including tracking, commission structures, payment schedules, fraud prevention, and enforcement. It includes industry-standard safeguards to manage risks from chargebacks, unauthorized transactions, traffic manipulation, and regulatory breaches. Affiliates understand that earnings are conditional, subject to verification, and depend on successful transaction settlement and adherence to these terms. It also outlines clear duties for lawful marketing, brand protection, and responsible data use. Affiliates must comply with all applicable data protection laws, obtain user consent as required, and protect user data in marketing and tracking. The Company acts as an independent data controller and does not share user personal data with Affiliates unless legally required. The Company may update or amend this Agreement, policies, or program rules at any time to reflect legal, regulatory, operational, or business needs. Such changes help maintain compliance with global standards and protect the Platform’s security, integrity, and sustainability. Continuing participation after updates means acceptance of the new terms. Affiliates acknowledge that participation involves inherent risks like changes in user behaviour, payment processing issues, regulatory updates, and technical limits. The Company makes no promises about traffic, conversions, revenue, or program continuity, and services are provided "as is" and "as available," subject to law. To the fullest legal extent, the Company disclaims liability for indirect, incidental, consequential, or punitive damages from Program participation or Platform use. Affiliates agree to indemnify and hold the Company harmless from claims or damages related to their actions, including legal violations, misuse of marketing channels, or Agreement breaches. This Agreement will be interpreted to maximize legal effect, enforceability, and protection for all parties. If any part is invalid under law, it will be limited or modified as needed, leaving the rest fully effective. By registering, accessing, or participating in the Cameralux Affiliate Program, Affiliates confirm they have read, understood, and voluntarily accepted all terms. Continuing participation means ongoing acceptance of these terms and any future changes. Affiliates who do not agree or cannot comply must immediately stop participation and cease using the Company’s marketing tools, links, and services. This document represents the complete and binding agreement between parties regarding this subject and replaces all prior agreements, written or oral. Effective Date: April 26, 2026 |
