Studio Agreement Terms

1. Introduction and Scope

These Terms and Conditions ("Agreement") form a binding legal contract between you ("User," "you") and Cameralux ("Company," "we," "us," or "our") that governs your access to and use of the Cameralux platform, including all related services, websites, apps, and features (collectively, the "Platform").

The Platform is a worldwide digital hub allowing Users—viewers, performers, and third parties—to connect through live streams, messaging, and other interactive services.

To be clear, this Agreement applies to all Platform users regardless of their location and covers all usage, whether you’re browsing as a guest or logged in with an account.

2. Definitions

For clarity, these definitions apply throughout this Agreement:

• "Platform" refers to the Cameralux website, apps, and all related services.
• "User" means any individual or entity accessing or using the Platform.
• "Performer" is a User who streams, uploads, or shares content on the Platform.
• "Studio" denotes any individual or organization that manages or supports Performers.
• "Content" includes all materials—videos, audio, text, images, or interactions—shared on the Platform.
• "Services" are all the features the Platform offers, such as live streaming, messaging, and payment processing.

Definitions are interpreted broadly to ensure enforceability and legal alignment.

3. Acceptance of Terms

By entering, signing up, or using the Platform, you confirm that you’ve read, understood, and agree to these Terms.

If you don’t agree with any clause, stop using the Platform immediately.

Continued use means ongoing acceptance of this Agreement, including future updates.

4. Nature of the Platform

We provide a tech service that enables User connections; we don’t create, produce, or control any user content.

To be clear, we are not:

• Employers of Performers or Studios;
• Content producers;
• Agents or reps of Users;
• Parties to transactions between Users.

All content and interactions are independently generated by Users, who alone are responsible for their actions and legal compliance.

5. Eligibility and Age Requirements

The Platform is strictly for adults who are at least eighteen (18) years old or have reached the legal age of majority where they live, whichever is older.

By using the Platform, you confirm you meet this age requirement.

We may ask for age and identity verification and can limit or cut off access if requirements aren’t met.

6. Account Registration and Security

Some Platform features require creating an account.

You agree to provide accurate, full, and current info during sign-up and to keep your login details secure.

You’re responsible for all activity on your account and must alert us immediately if you suspect unauthorized access.

7. Global Use and Jurisdiction

The Platform is accessible worldwide, but you’re responsible for ensuring your use complies with your local laws.

We don’t guarantee the Platform is legal or appropriate everywhere.

Where local laws require it, those rules apply without affecting the rest of this Agreement.

8. Modifications to the Agreement

We can update this Agreement anytime. Changes take effect once posted on the Platform.

You’re responsible for checking updates. Keeping to the Platform means you accept the new terms.

9. Termination of Access

We may suspend, limit, or end your access at any time, especially if you violate this Agreement or laws.

Termination can happen without notice if needed to protect the Platform or its users.

You may stop using the Platform whenever you want by simply logging out or deleting your account.

10. Relationship of the Parties

This Agreement doesn’t create partnerships, employment, or agency between you and us.

You act independently and are fully responsible for your Platform activities.

11. Account Creation and Access

Access to some features requires a registered account. You must provide truthful, complete, and updated info at registration and throughout usage.

We may refuse, suspend, or delete accounts with false or misleading info.

12. Account Security and Responsibility

You alone must keep your account credentials confidential.

All actions on your account are your responsibility.

Notify us immediately if you detect unauthorized use or security issues.

We aren’t liable for losses due to your failure to protect your account.

13. Multiple Accounts and Restrictions

We may limit or ban multiple accounts from the same User if used to dodge rules, payments, or sanctions.

We can link, merge, suspend, or remove accounts reasonably believed to be controlled by one person or entity.

14. Verification and Identity Checks

We may require verification of your identity and age to use certain features.

Failure to verify can lead to restricted use or account termination.

You must provide authentic documents when requested.

15. Account Suspension and Restriction

We may suspend or limit your account if:

• We suspect you broke this Agreement;
• Fraudulent or suspicious activity is detected;
• Verification is incomplete;
• Legal obligations demand it.

These measures may be temporary or permanent and can be applied without notice when needed.

16. Account Termination

We may terminate your account at our discretion for violations or payment issues.

You can also end your account anytime by stopping use and requesting closure.

Termination doesn’t free you from obligations incurred before ending.

17. Access Limitations

We may restrict access by location, legal requirements, or risk assessment.

We aren’t liable if you can’t access the Platform due to such restrictions.

18. Technical Requirements and Availability

Using the Platform needs compatible devices, internet, and software. You’re responsible for meeting these needs.

We don’t promise uninterrupted or error-free service and may perform maintenance or updates affecting availability.

We aren’t liable for outages or technical problems beyond our control.

19. Users (Viewers) — General Role

Users who watch, interact with Performers, or use communication tools ("Viewers") agree to follow this Agreement and laws.

Viewers don’t create or manage content but can engage with Performers via streams, chats, tips, and more.

Interactions are independent; we aren’t responsible for User behavior or claims.

20. Acceptable Use and Conduct

You agree to use the Platform legally, respectfully, and responsibly.

Prohibited behaviours include:

• Harassment, abuse, threats, or intimidation;
• Requesting or promoting illegal or banned content;
• Exploiting or manipulating Performers;
• Breaking laws or Platform rules;
• Disrupting Platform security or operations.

Violations may lead to immediate sanctions.

21. Prohibited Requests and Interactions

You’re forbidden from requesting or engaging in:

• Content involving minors or underage individuals;
• Illegal activities;
• Intellectual property infringements;
• Non-consensual or abusive behaviour;
• Attempts to bypass Platform safeguards.

Such actions can result in suspension and legal reporting.

22. User Financial Interactions

You can buy credits or pay for content, Performer interaction, or premium features.

All payments are voluntary and processed through our payment system.

To be clear:

• Payments don’t grant ownership of content or Performers;
• Payments don’t guarantee specific results or experiences;
• You must review transactions carefully before confirming.

We aren’t liable for disputes over expectations.

23. Off-Platform Conduct and Circumvention

You must not try to move payments or communications outside the Platform to avoid fees or rules.

This includes asking Performers for personal contacts or external payments.

Such acts breach this Agreement and can lead to termination.

24. Fraud and Abuse by Users

Fraudulent or abusive acts are strictly banned, including:

• Using stolen or unauthorized payment methods;
• Unjustified chargebacks;
• Exploiting system errors or promotions;
• Creating accounts to dodge enforcement.

We reserve the right to investigate and impose sanctions, including suspensions and reporting.

25. Privacy and Respect for Others

You must respect others’ privacy and not:

• Record or share content without permission;
• Disclose others’ personal info;
• Engage in doxxing, stalking, or harassment.

Violations may lead to legal action.

26. Enforcement and Consequences

We may take actions for violations, including:

• Warnings;
• Temporary suspensions;
• Permanent bans;
• Financial restrictions;
• Content removal.

Enforcement is at our discretion and may happen without notice when necessary.

27. User Acknowledgment

By using the Platform, you accept full responsibility for your actions and agree to follow all rules here.

Failure to comply may result in loss of access or other penalties.

28. Performers — General Role

Performers create and share content on the Platform.

They operate independently, fully responsible for their content, conduct, and legal compliance.

We don’t produce, employ, or manage Performers.

29. Independent Contractor Status

Performers are independent contractors, not our employees or agents.

We don’t control how Performers create or deliver content.

Performers choose their own schedules and styles but must follow this Agreement.

30. Performer Responsibilities

Performers must:

• Ensure content follows laws and rules;
• Verify their age and identity and that of any participants;
• Keep required records;
• Meet tax and legal obligations;
• Ensure content is consensual and lawful.

We’re not responsible for Performer failures.

31. Content Standards and Restrictions

Performers must ensure content:

• Does not involve minors or illegal persons;
• Follows laws;
• Is consensual and not exploitative;
• Respects intellectual property;
• Complies with Platform rules.

We may remove or block content violating these standards.

32. Earnings and Payments to Performers

Performers earn through interactions, including tips, private shows, subscriptions, and other monetized features.

Earnings are calculated per Platform policies.

To be clear:

• No guaranteed income;
• Income depends on engagement;
• Fees or commissions may apply.

Payments are subject to verification and legal compliance.

33. Payment Adjustments and Withholding

We may adjust or withhold payments if:

• Fraud is suspected;
• Chargebacks or disputes happen;
• Agreement violations occur;
• Legal rules require.

These protect Platform integrity.

34. No Guarantees and Platform Limitation

We don’t guarantee:

• Service uptime;
• Specific earnings;
• User demand.

Performers accept risks tied to digital, user-driven services.

35. Prohibited Performer Conduct

Performers must not:

• Engage in illegal activities;
• Falsify identity or age;
• Use third parties without disclosure;
• Violate intellectual property;
• Bypass Platform rules.

Violations may lead to immediate bans.

36. Record-Keeping and Compliance

Performers are responsible for keeping all legally required records, including age and consent verification.

We are not custodians of these records.

37. Taxes and Financial Responsibility

Performers are responsible for taxes and financial liabilities from their activities.

We don’t withhold or pay taxes for Performers unless legally mandated.

38. Suspension and Termination of Performers

We can suspend or terminate Performer accounts for breaches or illegal acts without prior notice.

39. Performer Acknowledgment

By performing, you accept full responsibility and agree to comply with laws and this Agreement.

40. Studios — General Role

A Studio is an individual or business managing or representing one or more Performers ("Studio Models").

Studios work independently and are responsible for their operations, staff, and legal compliance.

We don’t supervise or control Studios or their Performers.

41. Independent Contractor Status

Studios act as independent contractors, not employees or agents of the Company.

We don’t direct Studio operations or employment.

Studios bear all risks from their activities.

42. Responsibility for Studio Models

Studios are fully responsible for individuals under their accounts, including:

• Verifying age and identity;
• Ensuring legal age compliance;
• Obtaining valid consent and contracts;
• Following labor, tax, and content laws;
• Supervising conduct and compliance.

We have no contracts with Studio Models and aren’t liable for their actions.

43. Studio Model Agreements

Relationships between Studios and Models are governed by their own contracts.

We’re not parties to these agreements and not responsible for disputes.

Studios must ensure agreements comply with laws and this Agreement.

44. Content Responsibility

Studios are responsible for all content shared via their accounts, including by Models.

This includes:

• Live and recorded content;
• Compliance with adult content laws;
• Avoiding prohibited material;
• Respecting intellectual property.

We don’t monitor all content and aren’t responsible for Studio content.

45. Payments and Earnings

Studios may earn from their Models’ activities on the Platform.

Earnings are calculated by Platform policies.

To be clear:

• No guaranteed income;
• Studios handle payments to Models;
• We aren’t responsible for Studio-Model disputes.

46. Payment Adjustments and Risk Controls

We may adjust or withhold Studio earnings if:

• Fraud detected;
• Payment disputes;
• Agreement violations;
• Legal requirements.

These protect the Platform’s financial health.

47. Legal and Regulatory Compliance

Studios must follow all laws where they operate or where content is accessible.

This includes:

• Age verification and record-keeping;
• Tax and financial duties;
• Employment and contract laws;
• Content regulations.

Compliance in one place doesn’t exempt obligations elsewhere.

48. No Control by the Company

We do not control when, how, or what Studios do.

Studios are fully responsible for legal compliance.

49. Fraud and Abuse Prevention

Studios must not:

• Artificially boost activity or earnings;
• Coordinate fraudulent payments;
• Use unauthorized payment methods;
• Exploit Platform systems.

Violations may lead to immediate sanctions.

50. Indemnification

Studios agree to protect and hold us harmless from claims arising from:

• Their or their Models’ actions;
• Legal violations;
• Agreement breaches;
• Content shared.

51. Suspension and Termination

We may suspend or end Studio accounts for breaches or legal issues without notice when necessary.

52. Studio Acknowledgment

By running a Studio, you accept full responsibility for your activities and those on your account and agree to follow all laws and this Agreement.

53. User-Generated Content

The Platform lets Users, Performers, and Studios create, upload, share, and distribute content ("Content").

All Content is independently produced by Users; we don’t create or produce it.

Users are fully responsible for what they post or share.

54. Ownership of Content

Users keep ownership of their Content.

This Agreement doesn’t transfer Content ownership to us.

Users must ensure they have rights and permissions to share their Content.

55. License Grant to the Company

By uploading Content, Users grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, reproduce, and share it to operate and promote the Platform.

This includes:

• Streaming Content to Users;
• Showing Content on Platform interfaces;
• Using Content for marketing;
• Adjusting Content for technical needs.

This license doesn’t transfer ownership and is limited to Platform operation.

56. User Representations and Warranties

Users confirm that:

• They own or have rights to the Content;
• Content is lawful and complies with rules;
• All people in Content consented;
• All participants are adults;
• Content doesn’t infringe others’ rights.

Users bear full responsibility for breaches.

57. Prohibited Content

Users must not upload or share Content that:

• Involves minors or illegal acts;
• Is non-consensual or exploitative;
• Violates intellectual property;
• Is fraudulent or deceptive;
• Breaks laws or Platform policies.

We may remove or block such Content without notice.

58. Monitoring and Moderation

We don’t actively monitor all Content but can review and remove Content at our discretion.

We’re not liable if some Content isn’t screened.

Content violating this Agreement or law may be removed.

59. Intellectual Property Rights of the Platform

We own all Platform intellectual property — software, design, trademarks, branding.

Users get a limited, non-transferable license to use the Platform as intended.

Copying or exploiting the Platform without permission is forbidden.

60. Content Removal and Enforcement

We can remove or block Content violating this Agreement or laws.

Actions may happen without notice to protect the Platform or ensure compliance.

Removal doesn’t imply legal fault.

61. Repeat Violations

Repeated rule-breakers may face escalating penalties, including permanent bans.

We decide enforcement at our sole discretion.

62. Content Indemnification

Users agree to indemnify us for claims related to their Content, including intellectual property or privacy violations.

63. Payments Overview

The Platform offers payment features allowing purchase of credits or paid services and lets Performers and Studios earn money.

All payments go through third-party providers; we are not a financial institution.

Transactions relate only to digital services, not physical goods.

64. Credit System

Users buy digital credits to access services or interact with Performers.

Credits have no cash value outside the Platform and can’t be transferred.

Credits aren’t redeemable for cash except where legally required.

65. Payment Methods

We accept various payment types, including credit cards, digital wallets, and alternative methods.

Payments are subject to verification and authorization by providers.

We aren’t responsible for declined or failed transactions.

66. Transaction Finality

All purchases are final once processed.

By completing a payment, you accept the service immediately and understand transactions may not be reversed.

This covers digital content, live sessions, and subscriptions.

67. Refund Policy

Refunds are generally not available after service use.

Exceptions include:

• Unauthorized transactions;
• Duplicate charges;
• Technical failures preventing service delivery.

Refunds aren’t given for:

• Dissatisfaction;
• Failure to cancel subscriptions;
• Completed services;
• User errors or voluntary purchases.

68. Subscriptions and Recurring Billing

We may offer auto-renewing subscriptions.

You’re responsible for cancelling before renewal; no refund for missed cancellations.

69. Live Services and Interaction Risks

Live services depend on real-time conditions and may face interruptions.

To clarify:

• Temporary glitches don’t guarantee refunds;
• No guarantee of uninterrupted sessions;
• You assume risks of live digital interactions.

70. Tips and Voluntary Payments

Tips are voluntary payments to Performers.

All tips are final and non-refundable.

Tips don’t guarantee any specific Performer response or action.

71. Chargebacks and Disputes

Users agree not to dispute valid payments through chargebacks.

Unauthorized chargebacks violate this Agreement.

We may contest chargebacks, suspend or ban accounts, and recover costs as allowed by law.

72. Fraud Prevention

We use fraud detection to monitor and prevent suspicious activity.

By using the Platform, you consent to this monitoring.

High-risk transactions may be blocked or restricted.

73. Payment Adjustments

We may adjust or reverse payments if:

• Fraud is suspected;
• Chargebacks occur;
• Errors are found;
• Legal obligations require.

Adjustments affect balances and earnings.

74. Currency and Fees

Transactions may involve currency conversion and fees from payment providers.

We don’t control exchange rates or external fees.

You’re responsible for reviewing payment details before confirming.

75. Taxes and Financial Responsibility

Users, Performers, and Studios handle taxes and financial obligations on transactions.

We don’t manage tax reporting or payments unless legally required.

76. Payment Enforcement

We may enforce payment-related rules, including against fraud or abuse.

Actions include suspension, termination, or financial limits.

77. Platform Rules and Compliance

All Users—Viewers, Performers, Studios—must obey this Agreement and laws.

We have zero tolerance for illegal activity, exploitation, or abuse.

You’re responsible for ensuring your behaviour is lawful.

78. Violations of the Agreement

Violations include:

• Submission of banned or illegal content;
• Fraud or abuse;
• Payment rule violations;
• Bypassing safeguards;
• Harassment.

79. Enforcement Actions

We may respond with:

• Warnings;
• Content removal;
• Temporary suspension;
• Permanent bans;
• Feature restrictions;
• Payment adjustments.

Actions may be immediate and without notice to protect the Platform.

80. Discretion and Case-by-Case Assessment

Enforcement decisions are at our sole discretion, considering the violation’s nature and history.

We may weigh mitigating or aggravating factors.

Actions aren’t required to be uniform.

81. No Fixed Penalty Structure

We don’t use fixed fines or penalties.

Enforcement is proportional and tailored to each case.

This ensures fairness and compliance with laws.

82. Financial Measures and Adjustments

For financial violations, we may:

• Withhold or reverse payments;
• Adjust balances;
• Limit payment access;
• Recover losses legally.

These protect Platform financial integrity.

83. Cooperation with Authorities

Prohibited acts include:

• Fake age or identity;
• Any activity promoting minor participation.

Violations lead to immediate bans and legal reporting.

89. Age Verification

We may require age checks before granting access to some features.

• Government ID;
• Third-party services;
• Facial or liveness checks;
• Self-declaration where allowed.

Failing verification can restrict or end access.

90. Jurisdiction-Based Verification

Verification rules differ by location and legal requirements.

91. Record-Keeping Obligations

Performers and Studios must keep all legally required records, including age and consent documentation.

This includes compliance with laws like 18 U.S.C. § 2257 and equivalents.

We don’t act as primary record keepers.

92. Content Compliance Requirements

All content must comply with laws and exclude illegal, non-consensual, or banned material.

Users are responsible for legal compliance of their content.

93. Data Protection and Privacy Compliance

We handle personal data following applicable data privacy laws like GDPR, CCPA, and LGPD.

Data is used for account management, payments, fraud prevention, and legal compliance.

94. Cooperation with Authorities

We cooperate with law enforcement and regulators as legally required, including sharing information.

• Account suspensions or terminations;

96. Compliance Acknowledgment

By using the Platform, you accept your duty to comply with all laws and this Agreement.

97. Legal Framework and Interpretation

This Agreement serves as a global terms-of-service to operate across jurisdictions.

You’re responsible for legal compliance in your location.

Mandatory local laws override only where necessary and don’t affect the rest of the Agreement.

98. Limitation of Liability

To the fullest extent allowed by law, we aren’t liable for indirect, incidental, special, or punitive damages from Platform use.

This includes:

• Lost profits or data;
• Business interruptions;
• User content or interactions;
• Technical failures.

Our total liability won’t exceed amounts you paid us, where applicable.

99. Disclaimer of Warranties

The Platform is provided "as is" and "as available."

We make no guarantees about availability or reliability.

You use the Platform at your own risk.

100. Indemnification

You agree to protect and hold us harmless from claims from your Platform use, Agreement violations, legal breaches, or your content.

101. Governing Law

This Agreement is governed by the laws of England and Wales.

Local mandatory laws may apply regardless of your location.

102. Jurisdiction and Dispute Resolution

Disputes are subject to exclusive courts in England and Wales unless law requires otherwise.

We may seek injunctions in any jurisdiction to protect our rights.

103. Severability

If any part of this Agreement is invalid or unenforceable, it will be interpreted as broadly as possible, and the rest remains in effect.

104. No Waiver

Failure to enforce a clause doesn’t waive our rights.

105. Survival

Clauses meant to survive termination, like liability limits and indemnities, remain active.

106. Final User Acknowledgment

By using the Platform, you confirm you’ve read, understood, and agreed to these Terms.

Continued use means ongoing acceptance.

If you disagree, stop using the Platform immediately.

107. Final Legal Statement

This Agreement is the entire contract between you and us regarding the Platform and supersedes prior agreements.

We reserve all rights not expressly granted.

We operate solely as a tech platform enabling independent User interactions. We don’t produce content, employ Performers, or act as parties to User transactions. Users are fully responsible for their conduct, content, and legal compliance.

This Agreement also defines clear rules on payments, refunds, fraud prevention, dispute resolution, and Platform security. We implement strict safeguards to protect minors, prevent illegal content, and ensure compliance with record-keeping and legal obligations.

Users acknowledge that the Platform operates within a complex legal landscape and that ongoing use requires continuous compliance with this Agreement and local laws.

By using the Platform, Users confirm they’ve read, understood, and accepted all terms. Continued use means acceptance of updates.

If you don’t agree, stop using the Platform immediately.

This Agreement is crafted to maximize legal effect, enforceability, and protection for all parties. It governs the legal relationship between Users and the Company.

We reserve all rights not expressly granted and retain full authority to enforce this Agreement within the law.
